Terms of Service

1. Acceptance of Terms

By accessing or using FinCap Alpha ("Service", "Platform", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms", "Agreement"). If you disagree with any part of these terms, you may not access the Service.

These Terms constitute a legally binding agreement between you and FinCap Alpha. Your use of the Service constitutes acceptance of these Terms and all applicable laws and regulations.

2. Description of Service

FinCap Alpha is a software-as-a-service platform that aggregates, displays, and provides access to publicly available information regarding stock transactions made by members of the United States Congress. The Service:

  • Displays information derived from public disclosures required under the STOCK Act (Stop Trading on Congressional Knowledge Act)
  • Provides search, filter, and sorting functionality for congressional stock trading data
  • Offers subscription-based access to enhanced features including advanced filtering, ticker tracking, and member monitoring
  • Aggregates data from publicly available sources including House and Senate financial disclosure forms

Important: FinCap Alpha is NOT affiliated with, endorsed by, or connected to the United States Government, Congress, or any government agency. We are an independent third-party service provider.

3. User Accounts and Registration

To access the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your password and account
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account
  • Be at least 18 years of age or the age of majority in your jurisdiction

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activity.

4. Subscription, Free Trial, and Payment

4.1 Free Trial

New users may be eligible for a 24-hour free trial of the Premium Plan. By starting a free trial, you acknowledge and agree that:

  • A valid payment method (credit or debit card) is required to start the trial
  • The trial period lasts exactly 24 hours from the time of activation
  • At the end of the 24-hour trial, your subscription will automatically convert to a paid Premium Plan at $19.00 USD per month unless you cancel before the trial expires
  • You may cancel your trial at any time before the 24-hour period ends to avoid being charged
  • If you cancel during the trial period, you will not be charged and your access will end at the conclusion of the trial
  • By providing your payment method, you authorize FinCap Alpha (via Stripe) to charge your payment method automatically after the trial period

4.2 Premium Plan

The Premium Plan is available for $19.00 USD per month, billed monthly. Premium Plan features include:

  • Access to all congressional stock trades from public STOCK Act disclosures
  • Advanced filtering, sorting, and search functionality
  • Track specific ticker symbols and members of Congress
  • Top earners leaderboard and analytics
  • Daily data updates on weekdays
  • Priority access to new features

4.3 Payment Processing

All payments are processed securely by Stripe, Inc. ("Stripe"), a PCI-DSS Level 1 certified payment processor. By subscribing, you agree to:

  • Pay all fees associated with your subscription in advance
  • Authorize automatic recurring monthly billing unless you cancel
  • Provide valid payment information through Stripe
  • Understand that subscription fees are non-refundable except as required by law
  • Accept that prices may change with 30 days' notice to existing subscribers

Payment Security: FinCap Alpha does not store, process, or have access to your full credit card number. All payment card data is transmitted directly to and stored by Stripe. Your use of Stripe is also subject to Stripe's Terms of Service and Stripe's Privacy Policy.

4.4 Cancellation and Refunds

You may cancel your subscription at any time through the Billing page in your account or by contacting support. Cancellation takes effect at the end of your current billing period. You will retain access to Premium features until the end of your paid period. Refunds for unused portions of subscriptions are not provided unless required by applicable law.

5. Data Sources and Accuracy

Data Sources: FinCap Alpha aggregates data from publicly available sources, including but not limited to:

  • Financial disclosure forms filed by members of Congress under the STOCK Act
  • Public databases maintained by the House of Representatives and Senate
  • Third-party data aggregators and public records

No Guarantee of Accuracy: While we strive to provide accurate information, we do not guarantee, warrant, or represent that:

  • All data is complete, accurate, or up-to-date
  • Data reflects all transactions made by members of Congress
  • Data is free from errors, omissions, or delays
  • Data sources are reliable or error-free

Data Lag: There may be delays between when transactions occur, when they are disclosed by members of Congress, and when they appear in our Service. We update our database periodically but do not guarantee real-time accuracy.

6. Investment and Financial Advice Disclaimer

NOT INVESTMENT ADVICE: FinCap Alpha is NOT a registered investment advisor, broker-dealer, or financial advisor. The Service does NOT provide:

  • Investment advice, recommendations, or suggestions
  • Financial planning services
  • Securities analysis or ratings
  • Buy, sell, or hold recommendations
  • Any form of financial or investment guidance

Your Investment Decisions: All investment decisions are solely your responsibility. You acknowledge that:

  • Past performance of stocks traded by members of Congress does not guarantee future results
  • Congressional trading activity may not be indicative of investment opportunities
  • You should consult with qualified financial professionals before making investment decisions
  • You assume all risks associated with any investment decisions you make
  • We are not liable for any losses resulting from your investment decisions

No Endorsement: Display of congressional trading data does not constitute endorsement, recommendation, or suggestion that you should trade any particular security.

7. Prohibited Uses

You agree NOT to use the Service to:

  • Violate any applicable federal, state, local, or international law or regulation
  • Engage in insider trading or securities fraud
  • Harass, threaten, or harm members of Congress or their families
  • Use data for illegal purposes, including but not limited to market manipulation
  • Reverse engineer, decompile, or disassemble any portion of the Service
  • Access or attempt to access other users' accounts or data
  • Introduce viruses, malware, or harmful code
  • Scrape, crawl, or systematically extract data without authorization
  • Use automated systems to access the Service in violation of rate limits
  • Impersonate any person or entity or misrepresent your affiliation
  • Interfere with or disrupt the Service or servers
  • Use the Service to compete with FinCap Alpha or create derivative services

8. Intellectual Property

Our Intellectual Property: The Service, including but not limited to software, design, text, graphics, logos, and compilation of data, is owned by FinCap Alpha and protected by copyright, trademark, and other intellectual property laws.

Public Data: While the underlying congressional trading data is public information, our compilation, organization, presentation, and analysis of such data constitutes our intellectual property.

Limited License: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes in accordance with these Terms.

Restrictions: You may NOT:

  • Copy, modify, or create derivative works of the Service
  • Resell, redistribute, or sublicense access to the Service
  • Use our trademarks, logos, or branding without permission
  • Remove copyright or proprietary notices

9. Service Communications

By using the Service, you consent to receive communications from us, including:

  • Account-related notifications (verification, password resets)
  • Service updates and announcements
  • Billing and subscription information
  • Security alerts

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

FinCap Alpha, its officers, directors, employees, agents, and affiliates shall NOT be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, data, or business opportunities
  • Investment losses or financial damages
  • Errors or inaccuracies in data
  • Service interruptions or unavailability
  • Delays in data updates
  • Unauthorized access to your account
  • Any decisions made based on information from the Service

Total Liability: Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.

Investment Losses: We specifically disclaim any liability for investment losses, trading losses, or financial damages resulting from your use of the Service or decisions made based on congressional trading data.

11. Indemnification

You agree to indemnify, defend, and hold harmless FinCap Alpha, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any law or regulation
  • Your infringement of any third-party rights
  • Any investment decisions you make based on data from the Service

12. Service Availability and Modifications

No Guarantee of Availability: We do not guarantee that the Service will be available at all times or that it will be uninterrupted, secure, or error-free. The Service may be unavailable due to:

  • Maintenance, updates, or technical issues
  • Third-party service outages
  • Force majeure events
  • Security incidents

Modifications: We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We may also modify these Terms at any time. Material changes will be communicated via email or prominent notice on the Service.

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Non-payment of subscription fees
  • Extended periods of account inactivity
  • Any reason we deem necessary to protect the Service or other users

Upon termination, your right to use the Service will immediately cease. We may delete your account data in accordance with our Privacy Policy.

14. Government Data and STOCK Act Compliance

Public Information: The data displayed on FinCap Alpha consists of public information required to be disclosed under the STOCK Act (Pub. L. 112-105, 126 Stat. 291). This Act requires members of Congress and certain congressional staff to publicly disclose their financial transactions, including stock trades.

No Government Affiliation: FinCap Alpha is an independent service provider and is NOT:

  • Affiliated with the U.S. Government, Congress, or any government agency
  • Endorsed or approved by any government entity
  • An official government website or service
  • Responsible for the accuracy of original government filings

Data Verification: While we strive for accuracy, users should verify important information directly from official government sources, including:

  • House of Representatives Financial Disclosure Office
  • Senate Select Committee on Ethics
  • Official congressional financial disclosure databases

15. Securities Law Compliance

Not a Securities Service: FinCap Alpha is NOT registered with the U.S. Securities and Exchange Commission (SEC) as an investment adviser under the Investment Advisers Act of 1940, nor as a broker-dealer under the Securities Exchange Act of 1934. FinCap Alpha is not a member of the Financial Industry Regulatory Authority (FINRA) and is not subject to FINRA rules regarding securities recommendations.

Insider Trading: Users are strictly prohibited from using information from the Service to engage in insider trading or any form of securities fraud. Congressional trading data is public information, but users must comply with all applicable securities laws and regulations.

No Market Manipulation: Users may not use the Service or data from the Service to manipulate securities markets, create false market signals, or engage in any form of market manipulation prohibited by federal securities laws.

16. Dispute Resolution

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

16.2 Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be settled by binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association ("AAA"). The arbitration shall be conducted in Delaware, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

You waive your right to a jury trial and agree to resolve disputes through individual arbitration. Class action lawsuits and class-wide arbitrations are prohibited.

16.3 Exceptions

Notwithstanding the arbitration requirement, either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18. Force Majeure

FinCap Alpha shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from events beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemics, government actions or orders, changes in law or regulation, war, terrorism, civil unrest, power outages, internet or telecommunications failures, cyberattacks, third-party service outages (including data source or hosting provider failures), or labor disputes.

19. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published on the Service, constitute the entire agreement between you and FinCap Alpha regarding the Service and supersede all prior agreements and understandings.
